By accepting a purchase order issued by Royster’s Machine Shop, LLC (RMS), the supplier agrees to the following terms and conditions:

Purchase Orders:

Each purchase order will include all necessary details for order fulfillment, such as item numbers, specifications, drawings, process requirements, and work instructions. When applicable, referenced documentation (e.g., drawings and specifications) may be provided. Special requirements, critical items, or key characteristics will be clearly specified in the order.

Purchase orders may also outline requirements for:

  • Product and service approvals
  • Methods, processes, and equipment
  • Product and service release criteria
  • Statistical techniques for product acceptance and related instructions

All purchase order communications must be directed to the RMS employee who issued the order. Correspondence must be in English and sent via US mail or email. Communications are considered received upon email confirmation or mail delivery.

All products must be securely packaged to prevent damage and rust. Any special packaging requirements will be specified in the purchase order.

RMS actively monitors supplier on-time delivery performance and expects 100% on-time delivery. Suppliers with an on-time delivery rate below 90% may receive a corrective action request to address performance issues.

If delays occur, the supplier must notify RMS immediately.

Unless RMS requires source inspection, the supplier is responsible for the final verification of product and service conformance. This includes:

  • Checking product markings, labeling, and overall quality
  • Providing test specimens for design approval, inspection, investigation, or auditing (when required)
  • Requesting disposition from RMS for any nonconforming products before shipping

Suppliers must allow RMS, its representatives, and regulatory agencies the right of entry to verify product or service conformance and inspect relevant documentation at any level of the supply chain.

  • Quality Management: The supplier must maintain a quality management system appropriate for the work performed.
  • Trained Personnel: All workers must be qualified and trained, aware of their role in product conformity and safety, and uphold ethical standards.
  • Change Notification: RMS must be notified of any changes to the product, service, process, suppliers, or manufacturing facility before fulfillment.
  • Outsourcing Restrictions: No outsourcing is allowed without RMS’s written approval. When required, suppliers must use RMS-approved external providers and obtain approval for any product disposition.
  • Counterfeit Prevention: Suppliers must ensure that no counterfeit parts are used in fulfilling any RMS order.
  • Flow-Down Requirements: All applicable RMS requirements must be passed down to external providers.
  • Record Retention: Suppliers must maintain complete product and service records for at least 10 years from the order fulfillment date.

All information exchanged as part of a purchase order is considered confidential. Neither party may disclose confidential information to third parties without prior written consent. Exceptions include:

  • Information published publicly outside of this agreement.
  • Information lawfully obtained before entering the agreement.
  • Information obtained from a third party with the legal right to disclose it.
  • Information required by law to be disclosed.

Both parties agree to safeguard all confidential information and limit access to employees or professional advisors only.
